Michael Requests:

 Section 19.2: Suggested wording change: "This Agreement shall 
 be goverened by and construed in accordance with the Laws of 
 the Province of Alberta to the non-exclusive jurisdictions of 
 whose courts the parties hereto submit.  Any claims or 
 disputes arising out of or relating to this Agreement shall 
 be resolved by arbitration in a venue agreed to by both parties." 

With apologies to our own general counsel, Michael Shapiro, jurisdiction is a point that lawyers can argue for days. Our desire as a not-for-profit consortium is to keep all of our agreements as standard as possible. This means that we can then administer them in a managable way, and keep the costs of making the library available under control.
